Datalogic S.p.A. (“Datalogic”), a company listed on the STAR segment of the Italian Stock Exchange (Borsa Italiana S.p.A.: DAL) and leader in the market of bar code readers, data collection mobile computers, RFID and vision systems, announced today that it has completed the acquisition, through certain of its subsidiaries, of Accu-Sort Systems Inc., a leading supplier of Automatic Identification (Auto-ID) products in the United States, and certain affiliates of Accu-Sort Systems Inc. (“Accu-Sort”) from certain subsidiaries of Danaher Corporation.

Mauro Sacchetto, Datalogic Group CEO, commented: “The acquisition of Accu-Sort will enable Datalogic to double its presence in the Industrial Automation market, a very fragmented sector, but one with high growth potential. Furthermore, this acquisition will consolidate Datalogic’s position of leadership, putting it first in the world, with 31% of the market participants choosing Datalogic’s technological solutions. In practice, this means that almost a third of the post offices, couriers, distribution centers and airports worldwide use our products and solutions”.

Founded in 1971 and based in Telford, Pennsylvania, Accu-Sort is a leader in the United States in the design, production, integration and maintenance of Automatic Identification (Auto-ID) systems, with revenues of approximately USD 92 million in 2010, of which approximately 79% generated in the United States.

Accu-Sort employs approximately 250 employees, and has one production factory in the U.S., two research centers (one in the U.S. and one in Europe) and eight sales offices.

Accu-Sort’ strengths notably include its continuous product innovation (around 80 patents, of which 57 are registered in the U.S.), long-term relationships with primary retailers, strong competitive positioning and high brand awareness in its key market; these factors will enable Datalogic to strengthen its presence, mainly in the Transportation & Logistics sector.

The acquisition of Accu-Sort, a complementary company both in terms of geographical distribution and product offering, will enable Datalogic to improve its global leadership in the industrial stationary scanners segment, putting it in first place, with a market share of around 31% (Source: VDC 2011), versus a current market share of 16%.

During 2010, Accu-Sort recorded revenues of approximately USD 92.3 million, with an EBITDA of approximately USD 17.8 million (and an EBITDA margin of 19.3%), while in the first half of 2011 it generated revenues of approximately USD 51.4 million, with an EBITDA of approximately USD 11.3 million (and an EBITDA margin of 22.0%).

The agreed purchase price of USD 135 million (on a cash-free debt-free basis) includes estimated tax benefits for Datalogic resulting from an election to be made by the parties under section 338(h)(10) of the U.S. Internal Revenue Code to treat the stock purchase as an asset purchase for U.S. federal income tax purposes.

Datalogic will finance the acquisition with bank loans for 45 million Euro and with its own funds for the remainder.

Tamburi Investment Partners acted as financial advisor to Datalogic in the transaction and Dewey & LeBoeuf LLP as legal counsel.

A disclosure prepared pursuant to article 71 of Consob Regulation 11971/1999 will be available within the time period prescribed by applicable law.

PPT Vision develops, manufactures and distributes products and solutions based on smart cameras and multi-camera vision systems for applications in quality control and inspection in most manufacturing industries.

The extraordinary PPT Vision Inc. Shareholders’ Meeting, held yesterday, approved the sales of the company to Datalogic at a price of USD 0.13 per share, for a total amount of the transaction of 5.2 million USD.

Founded in 1982 and with headquarters in Minneapolis, Minnesota, PPT Vision, Inc. is one of the pioneers in the vision market with over 25,000 installed systems worldwide. The company employs about 30 people, has one R&D center where 4 exclusive patents have been developed, and two application development and support centers, one of which is located in Europe.

PPT has a wide range of vision systems based on a modular and scalable hardware platform, with different resolution sensors, both black & white and color based, and a wide range of lighting systems and accessories.

It offers an original software for the development of applications, which includes libraries with vision algorithms and development tools and a platform for the configuration of user interface, reporting and connectivity.

Strategy

The acquisition of PPT Vision has a great strategic value for Datalogic, allowing it to expand its presence in the vision market and particularly in the market of smart cameras and multi-camera systems, covering a wide range of applications, with various levels of complexity and functionality.

Vision technology is experiencing a strong evolution thanks to its high performance characteristics, competitive costs, reliability, applicability and ease of use, and is becoming one of the most pervasive technologies in all the sectors in which Datalogic is present: sensors, safety, measurement, as well as inspection and identification (in the Manufacturing, T&L and Retail sectors).

The vision market is broad and offers interesting growth prospects: in 2010 the global market was estimated to have a value of approximately 3.7 billion USD (Source: AIA), with a growth of 11% compared to the previous year.

The acquisition of patents and expertise in the field of vision technology, complementing those already existing and developed by Evolution Robotics Retail subsidiary for the retail market, further strengthen Datalogic’s position in the market of machine vision.

Value of the transaction

The value of the transaction is equal to 5.2 million USD and the acquisition has been financed with existing internal resources.

PPT Vision generated approximately 6 million USD in revenue with an EBIT and a substantially balanced net income (both equal to -0.3 million USD). The company does not have any financial indebtedness.

A significant portion of the value of PPT Vision is represented by intangible assets such as patents, trade secrets, copyrights and other intellectual property rights, and a large and consolidated customers’ and sales partners’ portfolio.

PPT Vision holds four patents and two patent applications filed with the United States Patent and Trademark Office.

Closing of the transaction

In connection with the acquisition, Datalogic will pay USD 0.13 per share to current shareholders of PPT Vision.

The closing of the transaction is expected to occur in December 2011, after PPT shareholders approval.

Great success of Datalogic Automation booth: renewed in the layout and graphics, presenting state-of-the-art solutions for Industrial Automation and attracted hundreds of visitors.The excellent performance was also confirmed by the quality and the quantity of the contacts with negotiations starting already at the show, an important number of request for proposals to follow-up and new high potential contacts.
King of the booth was the Matrix 450™, the new-born Datalogic 2D imager, a breakthrough product which sets a new frontier in automatic traceability.

(and certain of its affiliates) (“Accu-Sort”), a leading supplier of Automatic Identification (Auto-ID) products in the United States.

With approximately 79% of its revenues generated in the United States, Accu-Sort offers integrated solutions in the high-end segment thanks to long-term relationships with primary retailers, international couriers and system integrators.

In addition to having a significant intellectual property portfolio (consisting of approximately 80 patents, 57 of which registered in the U.S.), Accu-Sort can count on solid relationships with preeminent customers, strong competitive positioning and increased brand awareness.

Accu-Sort generated revenues of approximately USD 51.4 million in the first half of 2011, with an EBITDA of approximately USD 11.3 million (and an EBITDA margin of 22.0%). During 2010, Accu-Sort recorded revenues of approximately USD 92.3 million, with an EBITDA of approximately USD 17.8 million (and an EBITDA margin of 19.3%).

The agreed purchase price of USD 135 million (on a cash-free debt-free basis) includes estimated tax benefits for Datalogic resulting from an election to be made by the parties under section 338(h)(10) of the U.S. Internal Revenue Code to treat the stock purchase as an asset purchase for U.S. federal income tax purposes.

Datalogic has sufficient existing internal resources (cash on hand and unused credit lines) to fund the entire amount of the purchase price. Negotiations with primary credit institutions are under way for the issuance to Datalogic of a bridge loan of approximately USD 120 million to be subsequently converted into a mid- long-term loan.

The transaction is subject to customary closing conditions, including expiration or termination of the waiting period U.S. Hart-Scott-Rodino Antitrust Improvements Act. Subject to satisfaction or waiver of all closing conditions, the closing of the transaction is expected to occur in the first quarter of 2012.
